Terms and Conditions
Effective: 23 July 2026
Effective: 5 September 2026
1. Scope of the Terms & Conditions
We warmly welcome you to our platform and are pleased that you have decided to use it. Please take the time to read these Terms and Conditions (hereinafter "T&C") carefully, as they contain important information about your contractual rights and obligations. By registering on our platform, which is accessible via the website off-market24.com, you agree to these T&C. The business relationship between OM24GROUP LLC, headquartered at 5830 E 2nd St, Ste 7000 #26782, Casper, Wyoming 82609, USA (hereinafter "OFFMARKET24" or "we") and our users (hereinafter also referred to as "customers") is subject exclusively to the following Terms and Conditions. OFFMARKET24 does not recognise any deviating terms of the customer unless OFFMARKET24 and the customer have expressly agreed otherwise in writing. The paid memberships on our platform are aimed exclusively at entrepreneurs within the meaning of § 14 of the German Civil Code (BGB); OFFMARKET24 does not accept corresponding orders from consumers within the meaning of § 13 BGB.
Consumers who wish to sell their property discreetly may nevertheless contact us. However, we do not conclude a contract for a paid membership with them; instead, with their consent, we refer them to our cooperation partner HausHirsch GmbH, Monheim am Rhein, which holds a licence under Section 34c of the German Trade Regulation Act (GewO). In such cases the marketing contract is concluded directly between the consumer and HausHirsch GmbH; its terms apply, including the statutory consumer rights and in particular the right of withdrawal. In this respect OFFMARKET24 becomes neither a contracting party nor a broker and receives no remuneration from the consumer.
2. Services of OFFMARKET24
The services offered by OFFMARKET24 are comprehensively described on the sub-pages of the website off-market24.com. The product descriptions apply in the version current at the time the contract is concluded.
OFFMARKET24 is free to choose the technical means used to provide the agreed services, in particular with regard to the technology and infrastructure used. The customer is not entitled to make the services of OFFMARKET24 available to third parties for use.
In this context, the orderer personally, the department, or the company is considered the customer who is to receive the services in accordance with the contractual agreement. Third parties are, for example, all other persons in case 1, other departments of the same company in case 2, and affiliated companies within the meaning of §§ 15 ff. of the German Stock Corporation Act (AktG) in case 3. If accounts are assigned to a customer, only the named natural person has a right of use. Free additional services provided by OFFMARKET24 are not part of the contract. OFFMARKET24 may change and/or discontinue these services at its sole discretion. Even the repeated provision of such services does not constitute an obligation for the future. As the operator of the platform, OFFMARKET24 is neither the owner, seller, reseller, nor provider of real estate and does not act as a broker; a licence under Section 34c GewO is therefore not required and is not held. OFFMARKET24 only offers the possibility of making contact. Where the website offers sales support, transaction management or any other brokerage service, this is not provided by OFFMARKET24 but by our cooperation partner HausHirsch GmbH, Monheim am Rhein, as a licensed real estate agent; the contract for this is concluded directly between the customer and HausHirsch GmbH and is subject to its terms and remuneration provisions. OFFMARKET24 is not and will not become a party or any other participant in a contractual relationship between the customer and the investors presented on the website (hereinafter referred to as "investor"). OFFMARKET24 is also not a broker or an insurance company.
OFFMARKET24 does not act as a representative for any particular customer. OFFMARKET24 does not control or guarantee (1) the existence, quality, security, suitability, or legality of the contacts presented on the platform, (2) the correctness or accuracy of descriptions and photos in offers, ratings, reviews, or other content, or (3) the behaviour or performance of another customer or investor. OFFMARKET24 may temporarily restrict the availability of the platform if this is necessary for technical reasons, for example for maintenance, renewal ("updates"), or technical improvements. The platform may contain links to third-party websites and resources. Such third-party services may be subject to other terms of use and privacy policies. OFFMARKET24 is not responsible for the availability or accuracy of such third-party services or for any content, products, or services offered through such third-party services. The area of responsibility of OFFMARKET24 is limited exclusively to (1) the provision of the platform as described above and (2) the support of the customer in the communication between customer and investor.
3. Conclusion of Contract and Responsibility of the Customer
A contract for a paid membership comes into being in one of two ways. If you book a package directly via our website, by submitting the correspondingly labelled button you make a binding offer to conclude a contract; the contract comes into being as soon as OFFMARKET24 accepts that offer – at the latest upon activation of your access. If instead you receive an individual offer from OFFMARKET24, for example following a demo, the contract comes into being upon your acceptance of that offer. In both cases you receive a confirmation in text form stating the agreed scope of services, the fee and the term.
To access and use certain features of the platform, the customer must create a user account. Upon registration, correct, current, and complete information must be provided, and the data must always be kept up to date. If the customer registers a user account for a company, partnership, or legal entity, the customer warrants that they are authorised to represent and legally bind these organisations. The hardware and software required for access to and use of the platform are the sole responsibility of the customer. OFFMARKET24 grants limited, non-exclusive, non-transferable access for personal use of the platform for the purpose described above. Any other use of the platform is strictly prohibited and constitutes a breach of contract. OFFMARKET24 is entitled to deactivate, block or delete user accounts and offers in accordance with Section 8a. Customers are solely responsible for compliance with all laws, rules, regulations, and tax obligations that apply to their use of the platform. No liability is assumed for the actions of customers, in particular for declarations of intent by customers or investors. Customers agree to use the platform in accordance with its intended business purpose, within the framework of legal conditions and these T&C. Any abuse or attempted abuse may be prosecuted under criminal and/or civil law.
4. User Groups, Fees, and Contract Duration
OFFMARKET24 provides different user groups. Providers (in particular brokers and other entrepreneurs authorised to market real estate) use the chargeable functions of the platform within the framework of a paid membership. For investors (capital providers who store search or purchase profiles), the use of the functions intended for them is free of charge. The respective scope of services and functions owed, as well as the fee, result from the membership selected at the time the contract is concluded or from the product descriptions. The following provisions on payments, due dates, and contract duration apply exclusively to paid memberships.
Unless individual agreements or deviations have been made in the product data sheets, the fees are due in advance from the conclusion of the contract; billing is handled via the payment service providers named in Section 13. The contract term is automatically extended by the same period (but maximum 12 months) unless the membership is terminated in due time.
A paid membership may be terminated in text form (e.g. by email) or via the termination option provided by OFFMARKET24 or the payment service provider in the customer account or customer portal. An ordinary termination effective at the end of the respective term must be made at least 30 days before its expiry. The right to extraordinary termination for good cause remains unaffected.
At the latest 45 days before the end of the respective term, OFFMARKET24 will notify the customer by email to the address on file that the contract will be automatically extended unless notice is given in due time, stating the date by which the notice must be received.
The customer must notify objections to an invoice in text form within 14 days of receipt of the invoice. If two consecutive payments are not settled within the payment period, OFFMARKET24 reserves the right to declare all amounts that will accrue during the remaining contract term immediately due.
5. Use Without Registration and Publicly Accessible Areas
Certain areas and functions of OFFMARKET24 may be used without registering a user account, in particular publicly accessible offer overviews as well as contact, enquiry, and submission forms (for example for submitting transaction enquiries and purchase profiles or for signing up for notifications). Anyone who uses such functions or transmits data, property documents, or other information to OFFMARKET24 via them accepts these T&C in their respectively valid version for the use in question, even without opening a user account. The provisions of these T&C on the obligations and warranties of the customer, on the rights of use for submitted content (Section 6), on confidentiality (Section 9), on liability (Section 11), and on applicable law and place of jurisdiction (Section 14) apply accordingly to such use. Anyone who transmits data via such forms warrants that they are authorised to do so and that they do not infringe any third-party rights. There is no claim to the availability or permanent provision of the publicly accessible areas.
6. Content Submitted by Users and Rights of Use
- Customers and other users may submit, upload, or transmit content within the framework of the platform, in particular property details, exposés, property documents, photos, floor plans, documents, search and purchase profiles, as well as other information (hereinafter "user content"). The user remains the owner of the rights to their user content.
- The user grants OFFMARKET24 a non-exclusive, royalty-free right, limited to the duration of the provision, to use the submitted user content for the purpose associated with the respective function. This right includes in particular the storage, reproduction, technical editing, and adaptation (e.g. the creation of preview, reduced-size, or anonymised or redacted versions of photos and documents), the compilation into short profiles or teasers, as well as the provision and transmission of the content to matching investors or customers within the framework of the platform's brokerage and matching function. Any use beyond this, in particular for the platform's own advertising purposes outside the platform, only takes place with the user's separate consent.
- The user warrants that they have the powers required to grant these rights and that the user content does not infringe any third-party rights (in particular copyright, trademark, personality, or data protection rights). OFFMARKET24 is not obliged to check user content and is entitled to remove or discontinue the provision of manifestly unlawful content or content that violates these T&C.
- If a user submits suggestions, improvement proposals, ideas, or similar feedback to OFFMARKET24 (for example via the ideas function or support), OFFMARKET24 is entitled to use this feedback free of charge and without time limit to improve and further develop the platform, without any claims arising for the user as a result.
7. Liability and Communication
- The customer is obliged to provide OFFMARKET24 with current contact details at all times and to notify any changes without delay. OFFMARKET24 uses the email address provided by the customer for personalised contract processing, such as sending invoices or notices of contract changes. The customer is responsible for regularly checking their email account for emails. OFFMARKET24 sends contractual communications exclusively to email addresses confirmed by the customer during the registration process. If the customer's email address is incorrect, regardless of whether it was entered incorrectly by the customer, became incorrect due to a change, or is no longer correct for technical or comparable reasons recognisable to OFFMARKET24, OFFMARKET24 reserves the right to contact the customer by post and to demand a flat-rate compensation of ten euros per letter for the resulting costs. The customer has the right to prove lower costs.
- The customer warrants that they are authorised to market the offered property and to forward the associated information to investors. If the customer is not themselves the owner of the property, they additionally warrant that they hold a valid brokerage assignment or other marketing authorisation from the owner. If the customer is themselves the owner, property developer or project developer of the offered property, this additional warranty does not apply. The customer warrants the accuracy and completeness of the information provided and that they do not infringe any third-party rights. A violation of these warranties may lead to immediate exclusion from the platform. OFFMARKET24 is entitled to forward the provider's contact details to those investors who have expressed specific interest in the property after requesting an exposé.
- The information provided on OFFMARKET24 is generalised and does not constitute a binding basis for decisions in individual cases. In addition, it may be incorrect or open to interpretation without this being readily apparent during use. OFFMARKET24 therefore does not accept liability for damages arising from the use of the data and evaluations offered on the platform. OFFMARKET24 reserves the right to refer to offers or information from third parties on its platform. These references do not constitute a recommendation and OFFMARKET24 does not adopt the information of the third party as its own.
8. Prohibition of Distribution
The customer undertakes not to copy the data contained in OFFMARKET24, pass it on to third parties, or otherwise make it publicly accessible, in particular not via websites, CRM systems, or databases, unless OFFMARKET24 has expressly given its consent within the framework of the functions provided.
8a. Reporting Unlawful Content, Blocking and Objection
Any person may report to OFFMARKET24 content that they consider unlawful or in breach of these Terms & Conditions. The procedure provided for this is described on the page "Report fraud or abuse". We confirm receipt of a report without delay, examine it carefully and without arbitrary prejudgement, and inform the reporting person of the outcome.
If a report proves justified, or if OFFMARKET24 otherwise establishes a breach, OFFMARKET24 may, depending on the severity of the breach, remove the content in question or restrict its visibility, warn the user, temporarily suspend their user account or – in the case of serious or repeated breaches – terminate it. OFFMARKET24 will inform the person concerned of any such measure and state the underlying reasons, unless prohibited by law.
The person concerned may object to a measure in text form within six months of being informed. OFFMARKET24 will then re-examine the case and communicate the outcome. The assertion of further rights, in particular recourse to the courts, remains unaffected.
9. Confidentiality and Data Security
OFFMARKET24 treats the property documents and other information marked as confidential that the customer transmits via the platform as confidential. The database, files, email accounts, and backups are stored and processed exclusively in data centres in Germany. Access is limited to authorised employees of OFFMARKET24 and to processors bound by instructions. Data is transmitted in encrypted form (SSL/TLS); backups are stored in encrypted form. Details on the processing of personal data can be found in the privacy policy.
10. Notes on Compliance with Laws, Regulations, and Third-Party Rights
Before customers use the platform, they are required to familiarise themselves with the locally applicable laws and regulations. Customers warrant that (1) no third-party rights are infringed, (2) all applicable laws, regulations, and tax requirements are complied with, and (3) all necessary permissions or licences are in place. It is the sole responsibility of customers to comply with all laws and regulations, rights, and obligations. OFFMARKET24 assumes no responsibility for ensuring that customers fully comply with this.
11. Liability
The following Sections 11.1 to 11.5 apply exclusively within the liability limits set out in Section 11.6. Liability under Section 11.6, liability under the German Product Liability Act, and liability in cases of fraudulent concealment of a defect or the assumption of a guarantee remain unaffected by the following provisions.
- OFFMARKET24 does not check the correctness and accuracy of the content posted by customers on the platform and can therefore neither guarantee nor be liable in any way for the correctness and accuracy of the information and information provided therein. Customers are generally responsible for their use of the platform. OFFMARKET24 has no general obligation to check the information provided by customers/investors or to delete content that does not appear unlawful. OFFMARKET24 assumes no liability for any infringement of third-party rights that may arise from the use of the platform by customers.
- OFFMARKET24 is not liable for the unauthorised use of published data by other customers or third parties. Customers are solely responsible for protecting their published data from unauthorised access.
- OFFMARKET24 is not liable for failures or disruptions of the internet and telecommunications infrastructure that are beyond OFFMARKET24's control and may lead to disruptions in the availability of the platform. OFFMARKET24 is also not liable for temporary restrictions that are necessary for technical reasons for the purpose of maintenance, updates, or technical improvements.
- OFFMARKET24 is not liable for (1) the legality of the advertisements published on the platform, (2) the consequences of real or virtual meetings between customers and investors, (3) any damages caused by the misconduct of customers or third parties, or (4) in cases of force majeure.
- All claims due to defects or other breaches of duty in relation to contracts concluded via the platform are to be settled between the customer and the investor. OFFMARKET24 is not involved in this contractual relationship and assumes no secondary liability either.
- OFFMARKET24 is liable for damages within the scope of fault-based liability in cases of intent and gross negligence, regardless of the legal grounds. In case of simple negligence, OFFMARKET24 is only liable:
- for damages resulting from injury to life, body, or health,
- for damages resulting from the breach of a material contractual obligation (obligation whose fulfilment is essential to the proper performance of the contract and on whose compliance the contractual partner regularly relies and may rely); in this case, however, OFFMARKET24's liability is limited to compensation for the foreseeable, typically occurring damage.
The above liability limitations also apply to third parties and to breaches of duty by persons (also in their favour) whose fault OFFMARKET24 is responsible for in accordance with statutory provisions.
12. Price Adjustment
OFFMARKET24 is entitled to adjust the fees for ongoing memberships with effect from the beginning of a renewal term if the costs relevant to the provision of the services change. Relevant in particular are the costs of aggregating and maintaining the content, of the technical operation of the platform, of personnel and infrastructure, and public levies. Cost reductions are taken into account in an adjustment to the same extent as cost increases.
OFFMARKET24 will notify an intended adjustment in text form to the email address on file at least eight weeks before it takes effect. If the adjustment exceeds 5 per cent of the previous fee, the customer may terminate the contract with effect from the date on which the adjustment takes effect, up to that date. OFFMARKET24 will draw the customer's attention separately to this special right of termination and to the fact that, without timely termination, the adjustment is deemed agreed.
13. Payment Methods and Billing
The billing of paid memberships and the processing of payments are handled via our payment service provider ablefy. Credit card, SEPA direct debit and SEPA bank transfer are available as payment methods; which of these methods is offered in an individual case follows from the booking process. For the technical processing, ablefy uses further providers; details can be found in our privacy policy.
With credit card payment, access is generally activated within a few minutes. With SEPA direct debit and SEPA bank transfer, activation may take up to 48 hours after receipt of payment.
14. Other Provisions
- The legal relationship between the customer and OFFMARKET24 is governed exclusively by the law of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
- These Terms & Conditions are provided in several languages. Only the German version is authoritative; the other language versions serve solely to aid comprehension. In the event of discrepancies or questions of interpretation, the German version prevails.
- This contract constitutes the entire agreement between the customers and OFFMARKET24 and replaces all previous written or oral agreements.
- OFFMARKET24 may change, supplement or replace these terms with effect for the future, insofar as this is necessary to adapt to changed legal or technical conditions, to a change in case law, or to changes in the range of services, and does not unreasonably disadvantage the customer. OFFMARKET24 will notify the customer of the amended terms in text form to the email address on file at least six weeks before their intended entry into force, highlighting the changes. The customer may object to the changes in text form until they take effect; if the customer objects, each party is entitled to terminate the contract as at the date of the intended entry into force. If the customer does not object, the amended terms are deemed agreed. OFFMARKET24 will draw the customer's attention separately to the significance of their silence and to their right of objection in the notice of amendment.
- Should individual provisions of these terms be invalid or contradict legal regulations, this shall not affect the validity of the rest of the contract.
- The exclusive place of jurisdiction for all disputes arising from or in connection with this contract is Munich, provided that the customer is a merchant, a legal entity under public law, or a special fund under public law. OFFMARKET24 is additionally entitled to bring an action at the customer's general place of jurisdiction.
- OFFMARKET24 does not participate in dispute resolution proceedings before a consumer arbitration board and is not obliged to do so.
